Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of The Member Hub (the “App,” “Service,” “we,” “us,” or “our”), provided by UR Devs LLC. By installing, accessing, or using the Service, you agree to these Terms.

If you do not agree, do not use the Service.

1) The Service

The Service provides tools for websites and organizations to manage membership experiences, which may include sign-up forms, member profiles, directories, and administrative settings (collectively, “Features”). The Service may be offered via Wix or other platforms.

2) Eligibility

You must be at least the age of majority in your jurisdiction, or have permission from a parent/guardian, to use the Service. If you use the Service on behalf of an organization, you represent you have authority to bind that organization to these Terms.

3) Accounts and Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us promptly of any unauthorized access or security incident.

4) Customer Sites and End Users

The Service may be installed by a website owner or administrator (“Customer”) to operate on a website (“Customer Site”). People who use membership features on a Customer Site are “End Users.”

  • Customer responsibilities: Customers are responsible for their Customer Site content, membership rules, and compliance with applicable laws (including privacy and consumer laws).

  • End User relationship: End Users’ interactions with a Customer Site are primarily governed by the Customer’s terms and privacy policy.

5) Content and User Data

You may provide or upload content such as text, images, and profile information (“User Content”).

  • You retain ownership of your User Content.

  • You grant us a limited, worldwide, non-exclusive license to host, process, transmit, and display User Content solely to provide and improve the Service.

  • You represent you have all rights necessary to provide User Content and that it does not violate any law or third-party rights.

6) Acceptable Use

You agree not to misuse the Service. You will not, and will not help others to:

  • violate laws or regulations;

  • infringe intellectual property or privacy rights;

  • upload malware or attempt to disrupt or overload the Service;

  • attempt to access or probe systems or data you are not authorized to access;

  • reverse engineer, decompile, or attempt to extract source code except where prohibited by law;

  • use the Service to harass, abuse, or harm others.

7) Privacy

Our collection and use of personal information is described in our Privacy Policy: [add your Privacy Policy link here].
Customers are responsible for providing their own privacy notice to End Users for Customer Sites.

8) Payments, Trials, and Subscriptions (if applicable)

If the Service is offered on a paid basis:

  • Pricing, billing intervals, renewals, and trials (if any) are described at the point of purchase.

  • Unless otherwise stated, subscriptions automatically renew until canceled.

  • Fees are non-refundable except where required by law or explicitly stated in writing.

If purchases are processed through a platform (e.g., Wix), platform billing terms may also apply.

9) Third-Party Services and Platforms

The Service may rely on third-party services (such as Wix APIs, hosting, authentication, payments, and media storage). Your use of those services may be subject to third-party terms and policies. We are not responsible for third-party services.

10) Availability and Changes

We may modify, suspend, or discontinue any part of the Service at any time. We try to provide continuity, but we do not guarantee the Service will always be available or error-free.

11) Intellectual Property

Except for User Content, the Service and all related materials (including software, designs, text, graphics, logos, and trademarks) are owned by us or our licensors and are protected by intellectual property laws. You may not use our branding without written permission.

12) Feedback

If you provide suggestions or feedback, you grant us the right to use it without restriction or compensation.

13) Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

14) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.

  • OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE 3 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR USD $100 IF YOU PAID NOTHING.

Some jurisdictions do not allow certain limitations, so these may not fully apply to you.

15) Indemnification

You agree to indemnify and hold us harmless from claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising from your use of the Service, your User Content, or your violation of these Terms.

16) Termination

You may stop using the Service at any time. We may suspend or terminate access if we reasonably believe you violated these Terms or if required for security or legal reasons.

17) Governing Law

These Terms are governed by the laws of the State of Florida, USA, without regard to conflict of laws principles. Any disputes will be brought in the state or federal courts located in Florida, USA, unless applicable law requires otherwise.

18) Changes to These Terms

We may update these Terms from time to time. If changes are material, we will provide notice as required by law. Continued use of the Service after the effective date means you accept the updated Terms.
